  • Han Kun Law Offices LLP ("Han Kun Hong Kong") acted as the sole international legal counsel to the China-Portuguese Speaking Countries Cooperation and Development Fund Company Limited‎ (the "Fund") in connection with the Fund's full subscription of the inaugural bond issuance by the New Development Bank ("NDB") in the Macau Special Administrative Region. The Lotus bonds involved a three-year, US$50 million private placement (the "Bonds"), the proceeds of which will be exclusively applied to support development projects in Brazil. The Bonds were recently registered and deposited with the Macau Central Securities Depository and Clearing Company Limited (MCSD). Established by the BRICS nations, the NDB is a multilateral development bank mandated to finance infrastructure and sustainable development projects in BRICS countries, as well as other emerging economies and developing nations. This transaction marks not only a significant step for the NDB in broadening its funding channels, but also a concrete demonstration of Macau's role as a "Financial Services Platform for Cooperation between China and Portuguese-speaking Countries," further enriching its cross-border investment and financing landscape. The active participation of the Fund also highlights Macau's distinctive advantage as a bridge connecting Portuguese-speaking countries with global emerging market capital. ZHANG Yilun (Allen Zhang) , a partner of Han Kun Hong Kong, has long been actively engaged in financial product innovation and supported various innovative initiatives in the national financial infrastructure sector. For instance, Partner ZHANG Yilun previously participated deeply in the entire process of the structural design and the formulation of legal document standards for the world’s first bond cleared and settled via the Macao Central Securities Depository and Clearing Limited (“MCSD”) after MCSD was established and the world’s first Yulan Bonds.     On April 3, we hosted our 8th Annual International Arbitration Conference, "Arbitration in an Evolving Geopolitical Environment," at the Levy Conference Center, Penn Carey Law School. We are deeply grateful to the distinguished panelists and moderators who brought their expertise and thoughtfulness to each discussion, and to the attendees who made the day's conversations so rich and engaging. From dynamic panel discussions on third-party funding and sanctions to M&A arbitrations and sovereign immunity, the exchange of ideas was exceptional. Our first panel, on Third-Party Funding in International Arbitration, was moderated by Patrick Dempsey (Certum Group) and featured Dana MacGrath (MacGrath Arbitration), Jeffery Commission (Burford Capital), Victoria Sahani (Boston University School of Law), and Mark Nelson (Barnes & Thornburg LLP).   • On June 9, 2026, Everest Medicines (HKEX: 1952) announced that it had entered into an agreement with Jiangsu Vcare PharmaTech Co., Ltd. ("Vcare PharmaTech"), under which Everest Medicines obtained the exclusive rights to develop, register and commercialize Sumecigrel (formerly known as Vicagrel), a P2Y12 receptor antagonist, in multiple countries and regions across Asia-Pacific, including Southeast Asia, South Korea, Australia, Hong Kong Special Administrative Region, Macau Special Administrative Region and Taiwan region, China. Pursuant to the agreement, Everest Medicines will pay Vcare PharmaTech an upfront payment of RMB 20 million, along with subsequent milestone payments and commercial supply procurement. Han Kun acted as legal counsel to Everest Medicines in this transaction and provided comprehensive legal services throughout the process. The team was led by Yang (Aaron) Gu, comprising Fengqi (Franky) Yu, Xiaofu Ning and Lingyu Sheng, and was deeply involved in key stages of the transaction, including the drafting and revision of the agreement.
