株式会社 diVRse（本社：東京都／代表取締役 勇夢 将士、以下 「当社」）は、アイトラッキング関連開発で協力していた「Vlguin」を名乗る団体（構成員：なみさん（@VRC_namisan）bbbbb_himiko（@bbbbb_himiko）（以下 「同団体」）との取引関係を、2024年12月20日付で終了いたしました。
終了に至った経緯と当社の対応方針を、以下のとおりご報告いたします。

1　協力終了の理由

2023年、同団体からの「株式会社diVRseで販売中の「VRsatile」に取り付けることが可能なアイトラッキングモジュールを作りたい」という要請を受け、当社は開発への協力を進めてまいりました。
しかしながら「Vlguin」を名乗る団体とその構成員2名（なみさん（@VRC_namisan）bbbbb_himiko（@bbbbb_himiko）および元構成員であるコイン電池（@COIN_BATTERY_）は
・株式会社diVRseおよび、関係するVRユーザーから金銭および物品を「VR用トラッカーの開発のため」という名目で譲り受けたにも関わらず、それに対しての対価の支払いや返却・返金の要求を拒否ないし無視し、組織としての説明責任を果たすことを放棄したこと。
・一部活動費用や試作部材の負担・提供について、契約書面に基づかないまま追加要求が重ねて行われ、それに対し当社より精算および開発体制の明確化を要請したものの、その要請を拒否したこと。
上記の理由により関係継続の合意に至らず、2024年12月20日付で同団体から一方的に協力解消の通知を受領しました。

また、一部メディアにおいて1月12日に発表された同団体の製品において、ライセンスや帰属表示なしにオープンソースの視線追跡ソフトウェアを使用している旨が指摘されておりますが、こちらにつきましても株式会社diVRseおよび代表の勇夢 将士は一切関与していないことを申し上げます。

2　協力終了に至る経緯

2023年9月17日、VRChat上にてdiVRse代表の勇夢 将士は、コイン電池（@COIN_BATTERY）より「自分となみさん（@VRC_namisan）でVRデバイス開発をする「Vlguin」という団体を立ち上げ、株式会社diVRseで販売中の「VRsatile」に取り付けることが可能なアイトラッキングモジュールを作る」という提案を受け、同団体への協力を決定しました。
その後説明されたのは「参加するメンバーの活動および必要な資材・物品を購入するのに必要な費用は後でVlguinより支払う」というものでした。
その約束のもと、要求する開発費、研究費、開発用のデバイスや「Vlguin」のイベントでの出展費用は株式会社diVRseの出資や、メンバーの私費から捻出されていました。
しかしながら「Vlguin」はコイン電池（@COIN_BATTERY）の「費用が足りないから」「部品が足りないから」「こちらの要求したものを（diVRse/勇夢将士が）出さないから」「自分たちは本業があるから」といった主張を理由にし、当初予定していた成果物を提出する約束を守ることはありませんでした。
それに対してdiVRse/勇夢将士及び一部のメンバーは回答を求めていましたが、コイン電池（@COIN_BATTERY）が「diVRse/勇夢将士が急かしたり、要求したものを出さないために開発が進んでいない」という主張を行い、なみさん（@VRC_namisan）とbbbbb_himiko（@bbbbb_himiko）は「コイン電池（@COIN_BATTERY）を怒らせたら終わりだから」という理由で、それまでの約束を全て反故にして「VRsatileに取り付けない形でのアイトラッキングモジュールを作る」という決定を下しました。
ところがその後、コイン電池（@COIN_BATTERY）は開発資材やVR関係の製品を受け取ったにも関わらず、実際には開発をしておらず虚偽の主張を行っていたことが発覚しました。

更に、コイン電池（@COIN_BATTERY）は当社のみならず他のVRChatの関係者からも「VlguinでVR製品を作るために必要だから」という名目でVR製品や金銭を譲り受けたまま返却・返金していないことが発覚しましたが、そちらに対しても「Vlguin」のなみさん（@VRC_namisan）bbbbb_himiko（@bbbbb_himiko）は対応をしておりません。

上記の事実に対し、「Vlguin」の代表であるなみさん（@VRC_namisan）は「自分にはこれ以上手が出せないからdiVRse/勇夢将士の方で対応して欲しい」と責任を放棄した上で、「コイン電池（@COIN_BATTERY）が抜けても開発を続けるため、diVRse/勇夢将士からメンバーに賃金を支払って欲しい」という要求を、当社に対する了承や契約書面に基づかないまま行ってきました。

当然ながら当社は精算および開発体制の明確化を要請したもの、同団体は
・コイン電池（@COIN_BATTERY）が「Vlguin」の開発名目で金品を要求し、返金・返却をしていない行為に対する責任を負うかどうかに対しては、回答しない。
・これまで提供を受けた金品のうち、返却できるものは返却するが、資金に関しては支払う必要がないため、支払わない。
と回答したうえで、権利・金銭関係に対する一切の合意に至らないまま、2024年12月20日付で同団体から一方的に協力解消の通知を受領しました。

なお、当社は同団体に対し「コンプライアンスと責任の所在を明確にするため資金管理・開発業務を行いたいのであれば法人化すべき」と要請しておりましたが、その要請には一切答えておらず、現在も「私たちは会社ではなく、有志のチーム」と答えるのみにとどめ、責任の所在について曖昧にしています。

3　現在の状況

提供済み資金・部材の一部が未返還となっており、当社および関係ユーザーとの間で精算手続が継続中です。
なお、同団体が1月12日に発表した新規トラッカー「エフトラ」ならびに関連製品につきまして、当社は一切関知しておりません。
一部メディアで報じられたオープンソースソフトウェアのライセンス・帰属表示に関する指摘についても、当社の関与はございません。

4　当社の対応

株式会社diVRseは、関係ユーザーとの連絡を取りつつ、未精算事項の解決に向けて必要な措置を講じております。
アイトラッキングモジュール開発については、信頼性の高い海外メーカーとの協業に切り替え、当社製品「VRsatile」向けの正式対応版を改めて開発中です。

当社は、今後もコンプライアンスと透明性を最優先に、VR業界の健全な発展に貢献してまいります。

diVRse's response regarding our unresolved financial and material disputes with Vlguin

On January 12, 2025, the group calling itself Vlguin (represented by @VRC_namisan and @bbbbb_himiko) announced it had terminated its collaboration with diVRse Co., Ltd. and would instead develop a new tracker called Eftra. Its three key participants (@VRC_namisan, @bbbbb_himiko, and former member @COIN_BATTERY_) had presented themselves as developers for a VR eye-tracking module, accepting payments under the agreement of reimbursing all development-related costs.

• Despite this they have failed to repay or return any of the funds and/or equipment they accepted from diVRse and multiple other VR users. Our claims have been denied or ignored.

• When diVRse demanded reconciliation for all outstanding debts and a formal contract to govern any further collaboration, Vlguin's response was to unilaterally sever ties and decline on settling any outstanding balances with us.

• As of May 2025, none of our disputes have been resolved.

A recent UploadVR article mentioned that a product released under the Eftra name appears to incorporate open source eye-tracking software without proper license or attribution. This release occurred after our collaboration had been terminated. We'd like to make it clear that diVRse Co., Ltd. and its CEO, Masashi Isamu, have no involvement whatsoever in that product's development or publication.

A detailed chronology of what transpired

1. September 17, 2023
   @COIN_BATTERY_ invited diVRse's CEO, Masashi Isamu, via VRChat to join the newly formed group Vlguin to develop an eye-tracking module compatible with our VRsatile glasses.

2. Initial agreement
   Vlguin promised to reimburse all members' labor at an hourly rate and to cover the costs of any required materials and equipment after purchase.

3. Upfront contributions
   Under that promise, diVRse fronted the project significant development funds, prototype devices, and exhibition fees at our own expense.

4. Missed deliveries & excuses
   Vlguin repeatedly missed scheduled milestones. They attributed the delays to insufficient funds, a lack of parts, diVRse's failure to deliver requested items, and their status as a voluntary, part-time team.

5. Breakdown in communication
   When diVRse sought clear explanations, @COIN_BATTERY_ accused diVRse of obstructing progress by "pressuring" the team. @VRC_namisan and @bbbbb_himiko then rescinded all prior agreements, claiming that "upsetting the key developer would end everything" and declared they would build an eye-tracker incompatible with VRsatile.

6. Discovery of fraudulent conduct
   It was later confirmed that @COIN_BATTERY_, despite having received funds and hardware, never performed any meaningful development work. Instead they had submitted false progress reports while appropriating the money and devices for personal use.

7. Additional unreturned items
   @COIN_BATTERY_ also solicited head-mounted displays and other VR equipment from multiple VRChat acquaintances under the guise of necessities for Vlguin's project. None of those have been returned or reimbursed, either. Vlguin's remaining members have taken no action to rectify this.

8. Failed accountability
   @VRC_namisan initially claimed she would assume responsibility for @COIN_BATTERY_'s misconducts. She later stated she was powerless to act and demanded that diVRse pay the remaining members an hourly rate of ¥3,000 without any contract, board resolution, or mutual agreement.

9. Termination without reconciliation
   Faced with diVRse's insistence on settling all debts and producing a formal agreement, Vlguin's response was:

   • Refuse to confirm any liability for @COIN_BATTERY_ 's misappropriation of funds.

   • Offer to return only those physical items still in their possession, asserting they had no obligation to reimburse funds already spent.

   • Unilaterally terminate the collaboration and ignore all outstanding financial and contractual obligations.

10. Unresolved status
    As of May 2025, diVRse has no indication that any of the above issues will be remedied by Vlguin or its members.

diVRse Co., Ltd. has transitioned its eye-tracking module development to a collaboration with a reputable international manufacturer and is now developing an officially supported version for our “VRsatile” glasses.
