Sector trend for M&A deals in India for Q2 2024 ➡ Retail and consumer sector: The retail and consumer sector topped i.e. 20% of the terms of overall volumes but witnessed a marginal 7% decrease in volumes while an 18% increase in values over the previous quarter. ➡ IT & ITES sector: Followed by the retail sector, IT & ITes contributed to 16% of the overall deals volumes for the quarter with a marginal 9% increase in volumes, while values declined over the previous quarter, resulting the drop in the average deal value from USD 10.9 million in Q1 2024 to USD 9.7 million this quarter. ➡ Banking and financial services sector: Banking and financial services contributed to 14% to the overall deal volumes of Q2 2024. In this sector major contribution is deal between Warburg pincus - Mango Crest Investment Ltd with Shriram Housing Finance Ltd of $558 Mn, acquired for 100% stake. ➡ Pharma, healthcare and biotech sector: The pharma, healthcare and biotech segment led contributed 11% of overall deal volume which includes the values for the quarter with USD 3.8 billion across 53 deals driven by ten high-value deals that contributed nearly 86% of the sector's values. ➡ Manufacturing sector: Followed by the pharma sector, manufacturing sector contributed 7% of overall deal volumes which led the values for the quarter, witnessing a 28% increase in volumes while values increasing by 9x over the previous quarter, valuing USD 3.5 billion. This was mainly due to three high-value deals (over USD 500 million) by the Adani group in the industrial materials segment, constituting 87% of the sector's values. The industrial materials segment also led in volumes with 41% of the deals. ➡ Automotive sector: Automotive sector contributed 6% to overall volumes of Q2 2024. ➡ Other sectors: Apart from the above given main sectors other sectors contributed to 26% of overall deal volumes which includes the professional and business services and aviation sector attracted some traction in the quarter while witnessing muted activity in Q1 2024. Agriculture, transport & logistics, real estate apart from the top sectors witnessed significant increase in the deal activity. In contrast, the infrastructure management, education, hospitality and leisure and media and entertainment sector witnessed significant decline in overall numbers in Q2 2024 over the previous quarter. Motilal Oswal Mid Cap fund is outperforming Quant Mid Cap fund in 1W, 1M, 3M, 6M, YTD, 1Y, 2Y, 3Y, & 10Y time frame. Only in the 5Y time frame, Quant Mid Cap has outperformed by 2.47%. Fascinating to know that 5 Year CAGR returns for top quartile fund houses have been above 30% where as the benchmark's return is 28.35% Re 1 invested 5 years ago in (let's say Quant Mid Cap Fund) is Rs 5 today. 5 Year CNX Midcap100 CAGR is 28.35% excluding dividends (Oct'20 - Oct'24).

This helped us in avoiding duplication & helped us in meeting our timelines. 3) Timelines - Time is the only Currency in MBA, failing to plan is planning to fail, make sure you have your timelines sorted & you abide by them. 4) Research - Try to collect all your sources initially & work with them, that will help you decide if you need more information to conform to your vision. 5) Trust your Partner - Trust on each others capabilities & be open to feedback regarding your work, it's a learning curve for all of us, let's learn with an open mind. 6) Adapt to the Ask - This was not your normal case competition, Equity Research reports are generally very verbose (a Big NO-NO for Case comps in general) but here the ask was slightly different so we went ahead with a different perspective.

10/7 EQUITY MF INFLOWS AT $5 BILLION Inflows Surge: Equity mutual funds in India saw a 17% sequential increase in inflows, reaching ₹40,608 crore (about $5 billion) in June. Historical Context: This is the highest monthly inflow since February 2021, driven by policy continuity and economic stability. Investor Behavior: Domestic investors have contributed ₹5.99 trillion since February 2021, with recent trends showing a shift towards large and multi-cap funds due to valuation concerns in small and mid-caps. Market Performance: The NSE Nifty 50 has risen about 65% over the last 40 months, supported by mutual fund inflows and steady earnings. Post Karibo Cosmetics featuring on Shark Tank India,  I’ve been asked a lot of questions. Most of them revolve around what the experience was like, what really happened behind the scenes, how to fill out the form correctly, the screening process, and the list goes on! We had a great time throughout the journey.  For me, what stood out the most was, the brainstorming session that happened during the pitch among the investors. It felt amazing to see them helping us build and grow. If I were to answer, I’d say: -Be authentic. Be real.  If you don’t know something, accept it. -Don't follow the book. Your journey is going to be entirely different. -Be honest with your intentions.  Why are you applying? What do you want out of it? -Be diligent in all phases. Don’t celebrate too soon. The recent rise of quant and factor based strategies in India is interesting. It's happened across asset classes - mutual funds, PMS, smallcases. On the surface, these strategies seem to be producing a lot of 'alpha'. But alpha is a bit more complicated than Portfolio Return minus Benchmark Return. A lot of marketing material I see does not even use the correct benchmark. For example, comparing returns from your majorly mid-cap and small-cap portfolio to NIFTY 50, which is a large cap index is misleading. But even comparing with the right benchmark is not enough. If a fund manager invests in a portfolio of majorly mid-cap stocks and outperforms the NIFTY Midcap 150 index, they can claim they have 'alpha'. But the problem with that statement is that there are standard factors in the finance world that have historically produced alpha: 1) Small minus Big (Size) 2) Book to Market 3) Momentum So, real alpha - which would be alpha from managerial skill, would come AFTER accounting for returns from these standard factors. Now why is that? It's because anyone could invest in standard factor portfolios. Here's how - I hold an equal (or unequal) weighted portfolio of 1) NIFTY 50 ETF (Market) 2) NIFTY Small Cap 250 ETF (Size) 3) NIFTY50 Value 20 ETF (Value - proxy for book to market) 4) Nifty 200 Momentum 30 ETF (Momentum) And this portfolio would most probably produce alpha over NIFTY 50. I don't have to pay a fund manager their 2% management fee for their so-called factor strategy when I can make it at home. So, the real question is, do these fund manager produce alpha after accounting for standard factor returns? If not, they're charging management fee for nothing. One simple way for fund managers to prove their skill is to show how they adjust weights on different factors based on macro-economic (and other) indicators.

🚨 Godrej Consumer has announced a 1000% dividend per stock. I can finally be a crorepati, right? 🤑 Well, I’m sorry for the dopamine crash, but this is the most common confusion among beginners when they read this type of headline in the news. 🫣 Usually, we assume that we're getting a 1000% dividend on the share price of the stock (E.g. - The current price of Godrej Consumer is Rs 1,290). So, we expect to receive: 1000% * 1,290 = Rs 12,900 per share 🤔. NO, what we're seeing is the 'MARKET VALUE' of the share, but the Dividend is always declared based on the 'Face Value (FV)' of the share. So today, we'll get 1% better by understanding what Face Value and Market Value are. 🚀 Think of Face Value as the "original price tag" of a stock. It's the value assigned to it when it was first issued. 🏷️ Now, as a coffee lover, I dream of having my own company one day and require a capital of Rs 1 Crore and I plan to issue 50 lakh shares for the company. Hence, the value of 1 share will be - Rs 1 Crore / 50 Lakh = Rs 2. As the Promoter (Owner), I will acquire my shares at Rs 2 each. Moreover, as we learned earlier, dividends are declared based on the Face Value of the share. 💡 In the case of Godrej Consumer, the Face Value is Rs 1. Therefore, the dividend amount will be 1000% * Rs 1 = Rs 10. 🙂🙂 Additionally, Market Value refers to the price you would observe if you checked the stock market, which is currently Rs 1,290. The first question most of you’ll might have is the reason for taking 8% in NPS. NPS allows a maximum of 75% allocation to Equity + this allocation keeps reducing from the age 50 onwards & hence on their own website also NPS shows calculations only at 8% like MFs show at 12% and hence the calculations are done at 8 and 12% respectively. If NPS generates more than 8% it’s a no brainer that MFs will do equally well. Why do we run to Maggi noodles amidst many other rival brands vying for our attention? If you thought of taste, you're not a marketeer! . . . . . Maggi, for the Indian audience, is an emotion. Maggi has always positioned itself for a situation and never the taste. It doesn't claim it tastes better or is healthier than any other pack of noodles. Pahadon waali maggi, hostel waali maggi, maa ke haath ki maggi etc. Maggi as a brand makes you feel comfortable. So you reach out to it when you can't decide what to eat (not when you know what to). With 2-minute noodles being the first false Maggi premise, because it does not take 2 minutes for sure, Maggi sells on emotion. No wonder we crave for Maggi when it rains. Or at least I do. I listened to a podcast yesterday and realised humans are not as rational as we think. 95% of buying decisions are rooted in emotions and not logic. Here are a few fascinating facts that I'd love to share. 1. Fragrance Nike tried out the power of fragrance in a store. They were able to sell the same inventory at an 18% price hike. 2. Music US departmental stores tried the power of French vs. German music. The day they played French music, they sold 30% more French wines and vice versa. 3. Taste Pringles have timed the crunch to create euphoria and each wafer is bent at the same angle. 4. Product or emotion You can sell any product with either a product/patent advantage or just pure emotion. There is often no third thing needed. 5. Brand framing The "perfect man" campaign helped Raymond supersede all competitors in one go. One of the longest running campaigns of all time. The beauty of it all: Most of these buying decisions are not consciously made due to these specific reasons. Marketing is beautiful yet so complex. You can dive deep and still come out the shallow end. Advertising is just the tip of the iceberg. The experience that you create for the buyer is paramount. You can plan the perfect campaign yet come out with no long-term result. P.S. A Maggi meme I loved. (Again a situationship here). Every four years, We (Indians) agonise over the medals India has won (or hasn’t won) - By next Olympics, India will be the 3rd largest economy and we will cut a sorry figure with our medals tally unless we take drastic measures to improve - BTW, There is no dearth of talent in the country but we don’t allow it to shine at the world stage through our consistent support There should be a concerted attempt by corporates in cohort with Government in identifying sports where we have higher probability of medals and build the system from grassroots and above! In the UK, they are methodical and ruthless in allocating precious public money (through Lottery) to select sport and employ good coaches and world class facilities to train them with the aim of winning medals at qualifying events and eventually Olympics. The country has won the 3rd largest number of medals (65 even though the number of Golds were low this time and I’m sure there’s a committee looking into this aspect already 😊) If a sport doesn’t win medals they’ll lose sponsorship and thereby it creates a healthy competition to stay competitive I am collecting ideas as to what difference we can make- Send in your thoughts and suggestions and we can work with the Indian Government / Public & Private sector to make targeted efforts to address this issue Please join in the efforts 🙏 #IndiainOlympics #medalstally
