Explanation (from wiki):

In the draw for the round of 32, the twelve group winners and the four third-placed teams from the Champions League group stage with the better group records are seeded, and the twelve group runners-up and the other four third-placed teams from the Champions League group stage are unseeded. The seeded teams are drawn against the unseeded teams, with the seeded teams hosting the second leg. Teams from the same group or the same association cannot be drawn against each other.

So basically we can play with everyone from the seeded group except Tottenham and Fenerbahçe.

The draw will be held on 12th of December 2016

In total 8 third placed teams from CL go through to Europa League. Four best placed from those are seeded teams while bottom four are unseeded. You can see it in this table here.

They rank the 3rd place CL teams based on their group records.

Out of the 8 3rd placed teams they sort them by number of points (and then other metrics if they are tied on points). The top 4 are seeded and the bottom 4 aren't.
