この度、上海アリス幻樂団公式Blogにおいて上記標題のコメン トが掲載されました。 上記のコメントに対して、このような形で弊社の見解を公表する事は弊社の本意ではありませんが、御心配されているサークル様、取引業者様、弊社関係者もおられますので、経緯説明と事実関係を明らかにさせて頂きます。 |

上記のBlogでは、 『~黄昏フロンティアさん(黄昏さん)に同人ショップとの委託と対応をお願いしているのですが、黄昏さんからホワイトキャンバスさんの支払いがされていないという連絡を受けました。~未払があるままで新作の委託を開始してしまうと黄昏さんに迷惑になりますし~』 とあります。 現在、弊社は黄昏フロンティアの運営管理会社である有限会社SUNFISH(同社の取締役代表者は中嶋智彦氏。同氏は株式会社香霖堂の現取締役でもあります。)と裁判にて係争中です。 裁判に関する詳細は、現在係争中の為、コメントは差し控えさせていただきますが、弊社は、上記Blogで「支払いがされていない」とされている金額相当額の全額を供託したうえで、裁判にて争っているものです。 あたかも弊社が、何の理由もなく支払いをしていないものであるかのごとき上記Blogのコメントは、不適切なものであり、誠に遺憾であります。 また、弊社と有限会社SUNFISHとの間での係争に対し、第三者であるZUNこと太田順也氏が 自己の公式Blogにおいて、このような誤解を招く形で弊社を非難する内容のコメントを掲載した事は、誠に遺憾であり、弊社としましては強く抗議の意を表明するものです。 ZUNこと太田順也氏が、不特定多数の閲覧者に向けて、インターネット上でこのようなコメントを発信したことにより、あたかも弊社が、上海アリス幻樂団商品全般の支払いをしていないかのごとく、誤った情報が風評として流布されるに至っており、甚だ迷惑を被っております。 この点に関し、弊社は強く抗議の意を表明するものです。 |
According to the above-mentioned blog, "I ask Tasogare Frontier for handling consignment sales at doujin shops, but according to Tasofro, White Canvas has not been making the payments. I would be doing Tasofro disservice if I released a new product while Tasofro isn't getting paid." We're in a legal action against SUNFISH LLC, company run by Tasofare Frontier (representative Nakajima Tomohiko, also representative of Kourindou Co.). We cannot reveal details about the lawsuit, but we are disputing after having paid the entire amount that were alleged to have not been paid in the above-mentioned blog post. We find the blog post, which states as if we did not pay Tasofro for no reason, inappropriate. We also object to ZUN aka Oota Junya, a third party, making incriminating comments related to business affairs between SUNFISH LLC and White Canvas. We are harmed by the blog post made by ZUN aka Oota Junya, posted on Internet to the general public, depicting as if White Canvas has not been paying for all Team Shanghai Alice goods, which is contrary to the truth. About this, we would like to express our great disapproval. |

弊社は、太田順也氏との間で、平成19年6月23日付で「商品化等許諾契約」を締結しており、同契約に基づき、太田順也氏が製作するキャラクターを利用したグッズ等を製作・販売する商品化権の権利を有しております。 同契約は、それ以前に太田順也氏と弊社との間で締結されていた平成16年8月13日付「商品独占販売契約」(太田順也氏が制作する全ての制作物につき、日本国内外を問わず、弊社が独占的に販売権を有するという広汎な内容のもの)を、太田順也氏からの要望により、契約期間中に合意解約する代わりのものとして締結した経緯のあるものです。 以来、弊社は、上記の「商品化等許諾契約」に基づき、太田順也氏の製作するキャラクターのグッズ等の商品化を行ってきており、同契約に基づき発生するロイヤリティーについては、当然のことながら、太田順也氏に対してきちんと御支払をしてきました。 |
White Canvas has the right to produce and market goods using characters created by Mr. Oota, pursuant to "Marketing Permission Agreement" made between him and White Canvas on June 23, 2008. The agreement was signed replacing the "Exclusive Sales Agreement" on August 13, 2005 (giving White Canvas broad and exclusive marketing right to goods related to Mr. Oota's creation in Japan and abroad), due to request by Mr. Oota, while the previous agreement had not yet expired and was in effect. Since then, we have conducted all our marketing according to the standards in the "Marketing Permission Agreement" and, needless to say, we have been making all royalty payments from the sales. |

ところが、平成22年10月に上海アリス幻樂団の版権関係の管理は小山田文雄氏(現株式会社香霖堂取締役)が担当することになった、との旨の連絡があり、小山田文雄氏からは、「上海アリス幻樂団の作品の著作権、商品化権は株式会社香霖堂に移行したので、新しく契約を結びたい。」との申し入れがありました。 しかし、その後に株式会社香霖堂から弊社に示された新しい商品化契約の契約条件は、従前、弊社が太田順也氏と取り交わしていた「商品化等許諾契約」とは、大きくかけ離れたもので、到底、弊社がお受けできるものではありませんでした。 しかも、株式会社香霖堂は、「太田順也氏が有する上海アリス幻樂団の作品の著作権、商品化権の管理は、太田順也氏から株式会社香霖堂に移行した。」と言うものの、その根拠となる著作権管理契約書などは一切、弊社に対して示されておりません。 弊社としましては、新しい契約書が締結に至らないのであれば、従前の契約(平成19年6月23日付「商品化等許諾契約」)が有効に存続していますので、同契約に基づき商品化を行えば良いだけです。太田順也氏の著作権の管理権が、真実、株式会社香霖堂に移行したのか否かは、弊社と太田順也氏との間の商品化等許諾契約の有効性には影響がありません。 株式会社香霖堂は、そのことを理解しておられないように思われます。 なお、上記の商品化等許諾契約の及ぶ範囲について、太田順也氏ないし株式会社香霖堂は、弊社と異なる見解を持っておられるようであり、この点については、双方の代理人弁護士を通じて協議を重ねているところであります。 |
Nonetheless, in October 2010, we received a notifcation that the management of marketing rights related to Team Shanghai Alice goods has been transferred to Koyama Tabumi (current representative of Kourindou Co.). Mr. Koyama made a request saying that he would like to make a new agreement because the copyright and merchandising right of Team Shanghai Alice products had been transferred to Kourindou Co. However, because there were crucial differences between the provisions of the proposed new agreement and the "Marketing Permission Agreement," we could not accept the new agreement. On top of that, while claiming that all rights to Team Shanghai Alice products had been transferred to it, Kourindou Co. failed to submit any evidence that such a transfer took place. In our view, since there was no new agreement signed, the previous "Marketing Permission Agreement" is still in effect, and our obligation is limited to abiding by that agreement. Whether the alleged transfer of rights took place or not has no impact on the validity of agreement between us and Mr. Oota. It seems that Kourindou Co. does not understand that fact. Also, it seems that Mr. Oota and Kourindou Co. have differing opinion from White Canvas on the scope of the permissibility of merchandising according to the "Marketing Permission Agreement", and we are in the talks with both parties' lawyers on this issue. |

今回の公式Blogにおける一方的な取引休止広告は、以上のような、第三者(黄昏フロンティア=有限会社SUNFISH)と弊社との間の法的紛争に介入し、かつ、太田順也氏ないし株式会社香霖堂と 弊社との間の契約の解釈の問題(商品化等許諾契約の及ぶ範囲)について、法的な解決に拠らずに、弊社の評判を損なうようなコメントをなし風評を惹起することで強引に解決を図ろうとするものとしか思えず、誠に遺憾なことと言わざるを得ません。 弊社としましては、今回の公式Blogにおけるコメントが、真実、太田順也氏の真意によるものなのか、従前からの弊社と太田順也氏との関係に鑑みましても、いささか疑念を感じざるを得ないところです。弊社は、日頃より、太田順也氏が公表されているガイドラインを尊重した商品の製作を心がけて参りましたし、東方 Project を冒涜する内容の商品も作っておらず、18禁(アダルト商品)に該当する商品も製作、販売しておりません。 本来、共に手を携えて東方Projectというジャンルを盛り上げるべき弊社と太田順也氏ないし株式会社香霖堂との間で、上記のような紛争が発生し、それがこのような形で公になったことは、誠に残念なことであり、弊社取引サークル様、FC店舗様、取引業者様、取引金融機関に多大な心配、ご迷惑おかけいたしましたことを、深くお詫び申し上げます。 また、弊社の店舗、通販、FC店舗をご愛顧頂いておりますエンドユーザーの皆様にも、この場を借りまして、深くお詫び申し上げます。弊社と致しましては、今後とも、上海アリス幻樂団の新作をご提供頂 き、販売できるよう最大限努力して参る所存です。 |
We must express our dismay that Mr. Oota decided to get involved in a legal conflict between White Canvas and a third party (Tasogare Frontier = SUNFISH LLC), and that he forcefully tried to reach a resolution without relying on legal interpretation of the agreement, harming the reputation of White Canvas in the process. We also have slight doubt on whether the blog post reflects Mr. Oota's true intentions, considering the past relationship between him and White Canvas. We have always respected the guideline published by Mr. Oota in producing Touhou Project goods, and have never produced or sold goods that does harm to Touhou Project's name or goods that are adult in nature. We deeply regret that this dispute between us and Mr. Oota (and Kourindou Co.) became public in this way, when we should in fact be working together to promote Touhou Project. We apology to all parties affected by this for the troubles caused. We would also like to express our apologies to our customers. We will be doing our best to offer upcoming new products from Team Shanghai Alice. |
