　本日、関東財務局が、大量保有報告書の提出者であるテラメント株式会社（川崎市麻生区）に対して、金融商品取引法第27条の29第1項において準用する同法第10条第1項の規定に基づき、 同社が平成20年1月25日に関東財務局に提出した以下の発行会社に係る大量保有報告書の訂正報告書の提出を命ずる行政処分を行いました。

　本日、下記のとおり同社に対して金融商品取引法第２７条の２９第１項において準用する同法第１０条第１項の規定に基づき、大量保有報告書の訂正報告書の提出を命じた。

（１）訂正報告書の提出命令の理由
　平成２０年１月２５日にテラメント株式会社から提出されたアステラス製薬株式会社株券に係る大量保有報告書、ソニー株式会社株券に係る大量保有報告書、三菱重工業株式会社株券に係る大量保有報告書、トヨタ自動車株式会社株券にかかる大量保有報告書、株式会社フジテレビジョン株券に係る大量保有報告書及び日本電信電話株式会社株券に係る大量保有報告書（以下「６件の大量保有報告書」という。）には、各報告書に記載された内容の株券の取得の事実がないにもかかわらず、提出者の株券等保有割合が５１％と記載されていた。 　上記記載は、金融商品取引法第２７条の２９第１項において準用する同法第１０条第１項の「重要な事項について虚偽の記載」に該当する。

（２）訂正報告書の提出命令の内容
　上記６件の大量保有報告書について、各報告書に記載された内容の株券の取得の事実がない旨の記載及び当該事実に関連して必要となる各記載項目の訂正をした訂正報告書を平成２０年１月２８日（月）までに提出すること。

Today, the Kanto Local Finance Bureau (hereinafter “the Bureau”) issued an administrative order against Teramento Corporation (Kawasaki-shi, Asao-ku, hereinafter “the Corporation”), requiring the Corporation to submit correction of the reports of large shareholdings reports on the issuers listed below, which the Corporation submitted to the Bureau on January 25, 2008. This order is pursuant to the provision of Paragraph 1 of Article 10, as applied mutatis mutandis pursuant to Paragraph 1 of Article 27-29 of the Financial Instruments and Exchange Act.

　Today, the Kanto Local Finance Bureau issued an administrative order against Teramento Corporation to submit correction reports of large shareholdings reports, based on the provision of Paragraph 1 of Article 10, as applied mutatis mutandis pursuant to Paragraph 1 of Article 27-29 of the Financial Instruments and Exchange Act, as follows.

1. Basis for the administrative order to submit correction reports
　On each of the large shareholding report on share certificates of Astellas Pharma Inc, the large shareholding report on share certificates of SONY CORPORATION, the large shareholding report on share certificates of Mitsubishi Heavy Industries, Ltd. The large shareholding report on share certificates of TOYOTA MOTOR CORPORATION, the large shareholding report on share certificate of Fuji Television Network, Incorporated, and the large shareholding report on share certificate of NIPPON TELEGRAPH AND TELEPHONE CORPORATION submitted by Teramento Corporation on January 25, 2008(hereinafter refered to all as “six large shareholdings reports”), the ratio of the submitter’s share certificate holding is stated as “51%”, while there is no such share certificates holding as is stated in each of the large shareholding reports.
Such statements are deemed as “false statements with respect to material matters” pursuant to the provision of Paragraph 1 of Article 10, as applied mutatis mutandis pursuant to Paragraph 1 of Article 27-29 of the Financial Instruments and Exchange Act.

2. The administrative order to submit correction reports
　Correction reports on those six large shareholdings reports as written above are required to be submitted by Monday, January 28, 2008. These correction reports must state that there is no such share certificates holding as is stated in each of the large shareholding reports, and correct each of those statements accordingly.
