Chinese regional government takes over a Japanese company
A Japanese apparel maker in Kunshan, Jiangsu Province, has taken the unprecedented step of lodging a petition directly with the country's Commerce Ministry to seek help in foiling a plot to take over the company involving a local Chinese firm and corrupt local officials.
According to Hiroshi Tomida, president of Nagoya-based Tomida Co., some city government officials have been bribed to go along with the scheme. Tomida was made an honorary citizen of the town by the municipal government, but says his title does nothing to help fend off the predators.
With city government officials allegedly involved in the illegal takeover, the case sheds light on the risk foreign companies take when doing business in China.
In 1992, Tomida tied up with a Chinese state-run company to build an apparel factory. In 1999, the joint venture and a related company in China bought all the shares of the factory, which has about 650 employees.
Last year, the company posted about 80 million yuan (about 1.28 billion yen) in sales.
According to a Tomida employee, at the end of 2004, a Chinese man, 43, who had been assigned to work at the factory by the first joint venture, quit for health reasons.
Lawyers and an auditing firm later found that the man appeared to have embezzled about 53 million yuan, and used it to buy land. The man was also found to have made unauthorized changes to company records to show that the land on which the factory sits was owned by his firm.
Together with the city government, he even drew up a contract stating that his company owned the factory.

中国・江蘇省昆山(こんざん)市淀山湖鎮(てんざんこちん)に進出している洋服メーカー｢冨田(とみだ)｣(愛知県一宮市)が、地元政府ぐるみの企業乗っ取りで業務を妨害されているとして、中央政府の商務省に救済を求める異例の直訴を行った。
同社の冨田博社長(63)は同市政府認定の｢名誉市民｣だが、｢一部の役人が私利に走り、称号も役に立たない｣とお手上げの状態。政治腐敗が外資のチャイナリスクとして表面化した形だ。
｢冨田｣は1992年、昆山市にある国営企業と合弁でスーツなどを生産する縫製工場を設立、99年に同社と中国の関連会社が全株を買い取った。昨年の年商は8000万元(約12億8000万円)で、従業員は約650人。
同社によると、当初の合弁先から派遣されていた社長の中国人男性(43)が2004年末、健康上の理由で退職。その後、弁護士や監査事務所の調査で、土地の買収資金などの名目で支出された約5300万元(8億4800万円)を横領していた疑いが発覚した。
さらに男性は、工場用地の名義を自分の経営する｢新東湖服装公司｣に無断で変えていたほか、市政府側との間で工場所有者を同公司とする契約書まで作成していたこともわかった。
冨田側が同市公安局に通報したところ、逆に男性側は昨年4月から9月にかけ、工場の出入り口にコンクリートの壁や鉄柵を設けて営業を妨害。同社は近隣の蘇州市検察当局に相談したが、｢地元の抵抗で捜査ができない｣との返答だった。
冨田は昆山市対外経済貿易委員会に対し、来月17日に迫った合弁期限の延長を申請しているが、これも棚上げされたまま。日系企業が約400社進出し、外資誘致に積極的な同市としては異例の対応で、在上海日本総領事館も市関係部門に善処するよう申し入れた。
市や鎮の政府幹部の一部は調査をしないまま、｢資金を保管しているだけで横領にはあたらない｣と男性側にお墨付きを与える文書を捜査当局に提出している。
こうした経緯からみて、一連の不正には政府関係者も関与している可能性が高いといい、同社は商務省に対し、｢背景には土地などの公共財産を流用しようとする官民の癒着がある｣と訴える。
男性と同委員会は読売新聞に対し、｢取材には応じない｣としている。
冨田は明治初期創業の老舗。88年以来、遼寧省大連、瀋陽や上海に延べ10の合弁会社を設立して洋服を生産し、日本や欧州の量販店、大手スーパーなどに卸している。瀋陽でも名誉市民の表彰を受けている冨田社長は、｢長く中国とかかわってきたが、こんなことは初めて。せっかく育てた
