CITI BANK

Deal Makers: Gavin MacDonald, The Man Who Saved Morgan Stanley
Posted by Deal Journal
Harry Wilson, of Financial News, files this remembrance of Gavin MacDonald, Morgan Stanley’s global head of M&A, who died on Friday of a heart attack.
It is fitting that one of Gavin MacDonald’s last services to the bank he had worked for during his entire career should have been to help prevent its collapse in September as it teetered on the brink of becoming the largest casualty of the global financial crisis.
MacDonald, Morgan Stanley’s global head of merger and acquisitions who died of a heart attack on Friday, played an instrumental role in helping arrange a $9 billion (€7.1bn) investment in the bank by Japan’s Mitsubishi UFJ Financial Group.
As a member of Morgan Stanley’s managing committee, MacDonald was intimately aware of how great the problems facing his bank were in the wake of Lehman Brothers bankruptcy and Merrill Lynch’s takeover by Bank of America. As the London-based head of its global M&A business, he was deeply involved in putting together the deal that saved the firm.
There was no question of MacDonald’s commitment to Morgan Stanley and it is no surprise that in its hour of need his skills as an M&A professional should have been called upon by the firm to help negotiate the Mitsubishi deal.
In an industry where most senior bankers have worked at several different firms, MacDonald was the rare example of a lifer, and despite what must have been regular attempts to lure him away, colleagues say he never showed any sign of looking for a new home.
He had joined Morgan Stanley in 1983 straight from Cambridge University where he won a Rugby Blue and was among a clutch of young bankers, including John Studzinski, who would together build the nascent team into one of the most successful M&A operations in Europe.
Many of those MacDonald worked with talk of how generous he was with him time, particularly to junior bankers with whom he was immensely popular.
Among those to thrive under MacDonald’s watch was Colm Donlon, who was made a managing director in Morgan Stanley’s European M&A operation three years ago and became a close colleague of his.
Michael Zaoui, a former chairman of Morgan Stanley’s European M&A business who worked with MacDonald’s for 18 years, says he was struck by his collegial approach to the job.
“Whenever someone wanted a fresh pair of eyes on a deal, needed help on a conflict call or advice on a fairness opinion it was always, ‘give Gavin a call’ - he was someone you could count on,” says Zaoui.
Zaoui and MacDonald became good friends and were known to one another as Doctor Biscuit and Mr. Penguin in reference to deals they had worked on early in their careers, though over the years who was whom was largely forgotten.
“We used to sign off our emails to each other like that, it was an old joke. He was so much fun to work with,” says Zaoui.
In January 2006 MacDonald became head of European M&A after the departure of Paulo Pereira to boutique investment bank Perella Weinberg Partners. A year and a half later he became head of Morgan Stanley’s worldwide M&A operation when Paul Taubman was made head of investment banking, a job he kept until his death last Friday.
One former colleague said: “He was very British and never sought the high-profile of some of his predecessors, but he was extremely well regarded for his calmness and he was very much liked internally
